Terms of Service

1. Agreement

These Terms of Service (“Terms”) form a binding agreement between you and Swoopd(“Swoopd,” “we,” “us,” or “our”) governing your access to and use of the Swoopdwebsite, applications, and related services (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 16 years old (or the age of digital consent in your jurisdiction, whichever is greater) to use the Service. By using the Service, you represent that you meet this requirement, and that you have the legal capacity to enter into these Terms.

3. Your account

To use most features, you need to create an account using your email address (or by signing in with a supported social provider). You are responsible for keeping your credentials confidential, for all activity under your account, and for providing accurate registration information. Notify us promptly at hello@swoopd.ai if you suspect any unauthorised use of your account.

4. The Service

Swoopd aggregates publicly available job postings from third-party sources, applies AI-generated relevance scores based on a preference profile derived from your resume and stated preferences, and provides a kanban-style tracker for managing your applications. We may add, modify, or remove features over time, and we reserve the right to change source coverage, scoring methodology, daily caps, and other functional aspects of the Service at our discretion.

5. Plans, billing, and cancellation

Free and paid plans

Swoopdoffers a free plan and one or more paid subscription tiers (currently “Pro” and “Power”). Plan features and pricing are described on our pricing page and may change from time to time; we will not change the price of an active subscription without notifying you in advance.

Billing

Paid plans are billed in advance on a recurring monthly basis in U.S. dollars through our payment processor, Stripe. By subscribing, you authorise us (through Stripe) to charge the payment method you provide for the applicable subscription fees, plus any taxes, until you cancel. Receipts and invoices are available from your billing page.

Auto-renewal

Subscriptions automatically renew at the end of each billing period at the then-current price unless you cancel before the renewal date. You can manage or cancel your subscription at any time from the billing page within your account.

Cancellation

When you cancel, your paid features remain available through the end of the current billing period, after which your account reverts to the free plan. You can resubscribe at any time.

Refunds

Except where required by applicable law, all subscription fees are non-refundable, and we do not provide refunds or credits for partial periods, unused features, or downgrades. If your payment fails, we may suspend access to paid features until payment is successful.

Taxes

Subscription prices are exclusive of any applicable sales, use, value-added, withholding, or similar taxes. WhereSwoopd is required to collect such taxes, they will be added to your invoice.

6. Your content

You retain all rights to the content you upload to the Service, including your resume, the “what I’m looking for” description, your kanban entries, and your notes (collectively, “Your Content”).

You grant Swoopd a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, transmit, and process Your Content solely as necessary to operate, secure, and improve the Service for you — including sending it to our AI subprocessor for parsing and scoring, as described in our Privacy Policy. This licence ends when you delete the relevant content or your account.

You represent and warrant that you have all rights necessary to upload Your Content and that it does not infringe or violate the rights of any third party.

7. Acceptable use

You agree not to:

• Use the Service in violation of any applicable law or regulation, or for any illegal, fraudulent, or harmful purpose.
• Misrepresent your identity, impersonate any person, or upload a resume or profile that is not your own.
• Reverse engineer, scrape, decompile, or attempt to extract source code or non-public data from the Service, except to the extent permitted by applicable law.
• Use the Service to build a competing product, or to resell or redistribute job-listing data obtained through the Service.
• Interfere with or disrupt the Service, the systems running it, or other users’ use of it (including by sending malware, automated traffic, or denial-of-service requests).
• Attempt to bypass authentication, rate limits, daily caps, or other technical or contractual restrictions.
• Upload, share, or generate content that is unlawful, defamatory, harassing, infringing, hateful, or otherwise objectionable.
• Use the Service to send unsolicited communications, spam, or bulk messaging.

8. Third-party content and links

The Service surfaces job postings, employer information, and other content originating from third parties. Swoopddoes not author, control, endorse, or guarantee the accuracy, completeness, freshness, legality, or availability of third-party content, and is not responsible for any interactions you have with employers or other third parties. Your use of any third-party site you reach through the Service is governed by that party’s own terms and privacy policies.

Swoopd does not guarantee that any posting represents a bona fide vacancy, that an employer will respond to you, or that you will receive any interview or offer.

9. Intellectual property

The Service, including its software, design, branding, and content created by us (excluding Your Content and third-party content), is owned by Swoopd or our licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service for its intended purpose, subject to these Terms.

All trademarks, service marks, and logos used on the Service are the property of their respective owners. Nothing in these Terms grants you any right to use them.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, Swoopd DISCLAIMS ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Service will be uninterrupted, secure, error-free, or that AI-generated outputs (including preference profiles, match scores, and match explanations) will be accurate, complete, or appropriate for any particular purpose. AI outputs should be treated as informational suggestions, not as professional or career advice.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Swoopd, ITS AFFILIATES, AND THEIR OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR EMPLOYMENT OPPORTUNITIES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Swoopd’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

12. Indemnification

You agree to indemnify, defend, and hold harmless Swoopd, its affiliates, and their officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or relating to (a) Your Content, (b) your use of the Service in breach of these Terms, or (c) your violation of any law or third-party right.

13. Termination

You may stop using the Service and delete your account at any time from the profile page. We may suspend or terminate your access to the Service, with or without notice, if we believe you have breached these Terms, your account is being used in a manner that creates risk or harm, or as required by law.

On termination, the licences granted to you under these Terms end and we may delete content associated with your account in accordance with our Privacy Policy. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and governing law) will survive.

14. Changes to the Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. For material changes, we will provide additional notice (for example, by email or in-app notification). Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.

15. Governing law and disputes

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of- laws provisions. The exclusive jurisdiction and venue for any dispute relating to these Terms or the Service will be the state and federal courts located in San Francisco County, California, and you and Swoopd consent to the personal jurisdiction of those courts. If you reside outside the United States, this section applies to the extent permitted by applicable mandatory local law.

16. General

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Swoopd regarding the Service.
