The Assistant General Counsel (Corporate) will own TRM's M&A, strategic investments, equity financings, and governance frameworks, working directly with the CLO, CEO, and VP of Finance to close deals faster and build the legal foundation for long-term scale. This is not a support role — it is franchise ownership of TRM's entire corporate legal function, with a direct line to the CLO and meaningful impact on how the company grows at a pivotal stage.

The impact you will have:

  • Lead M&A transactions, strategic investments, and equity financings as primary deal counsel — using AI tools to compress due diligence timelines and reduce outside counsel spend by 30%+ in year one.

  • Design and implement AI-assisted due diligence workflows that cut average deal cycle time in half without sacrificing diligence quality or legal rigor.

  • Build corporate governance infrastructure from the ground up — board consent processes, committee charters, equity plan governance, and multi-entity compliance frameworks — that scales from Series D to IPO.

  • Support the CLO in advising the CEO and VP Finance on all corporate law matters, enabling faster, more informed strategic decisions without routing every question through outside counsel.

  • Reduce outside counsel dependency by bringing high-frequency corporate work in-house and building reusable templates and playbooks that business teams can use independently for routine matters.

  • Own multi-entity global compliance across TRM's corporate structure, building AI-assisted tracking workflows to manage obligations at scale and surface issues before they become blockers.

  • Build the scalable legal infrastructure — transaction templates, governance playbooks, self-service tools — that reduces TRM's legal friction and lets the business operate at its natural speed.

What we're looking for:

  • 10+ years of corporate legal experience with demonstrated lead-counsel ownership of M&A, equity financings, or strategic investments — you have closed deals, not just supported them.

  • Active US bar admission; JD from an ABA-accredited law school.

  • In-house experience at a high-growth technology company; BigLaw-only backgrounds without in-house exposure are not competitive for this role.

  • Proven AI fluency: you use Claude, Gemini, or equivalent tools in your daily workflow and can design AI-assisted legal processes — not just use AI for one-off research.

  • Ability to run transactions independently with a strong bias toward closing, operating with minimal supervision in a fast-moving environment.

  • Comfort advising senior executives and synthesizing complex legal positions into clear, actionable business recommendations.

  • Strong drafting and negotiation skills across M&A agreements, term sheets, investment documents, and governance materials.

  • Track record of building scalable legal infrastructure — templates, playbooks, self-service tools — that reduced legal friction for business partners.

About the Team:

  • TRM-Legal is a lean, high-trust team of 8 (and growing) that operates with high ownership and minimal hierarchy; each counsel owns their domain and is expected to advise proactively and prioritize innovation. The Financial Times recently recognized the team as one of the “Most Innovative In-House Legal Teams” in North America.

  • The team is led by TRM’s CLO — a former senior DOJ official with deep experience in technology, national security, and business strategy who The National Law Journal named in 2025 as the Most Impactful General Counsel in the United States.

  • TRM moves at the speed of a fast-scaling startup in a consequential industry; the Legal team has earned a reputation as an accelerator, not a bottleneck.

  • AI tool adoption is not optional — the team actively uses the Claude suite, Ironclad, and similar tools to operate with the leverage of a team twice its size.

  • Legal operates as a strategic business partner to Finance, BD, and the executive team; you will be in the room shaping deals from the start, not looped in after the fact.

Team Operating Rhythms:

  • The team is distributed across US time zones with core overlap from 9am–5pm PT/ET; primary communication is async-first via Slack, with key decisions documented in Notion — distributed, not distant.

  • Weekly Legal team sync for cross-functional coordination and deal pipeline review; biweekly 1:1s with the CLO for strategic prioritization and deal advisory.

  • TRM operates a high-transparency culture — deal status, governance obligations, and outside counsel spend are tracked in shared workspaces accessible to Finance and the executive team.
