In our Office of General Counsel, you’ll be part of an organization that collaborates with outside counsel to operate as a global team and deliver world-class legal, tax and audit services to client groups throughout the company.
Draft and Structure Agreements: Create, review, and negotiate a diverse range of commercial contracts—including Master Service Agreements (MSAs), Statements of Work (SOWs), Non-Disclosure Agreements (NDAs), and SaaS/licensing agreements—translating commercial goals into robust legal terms.
Lead Negotiations: Manage contract negotiations with external vendors, clients, and counterparties to secure favorable legal and commercial terms that minimize corporate exposure.
Advise Stakeholders: Serve as a trusted legal resource for internal teams (such as Procurement, Sales, IT, and Finance), providing pragmatic advice on contract terms, risk trade-offs, and compliance.
Mitigate Legal Risks: Identify and analyze potential legal risks within commercial agreements, focusing on key elements like liability, indemnification, intellectual property rights, data privacy, and termination conditions.
Ensure Policy Compliance: Verify that all agreements align with corporate guidelines, risk management policies, internal compliance initiatives, and insurance standards.
- Support Conflict Resolution: Provide clear, actionable guidance on contract performance issues, amendments, and potential commercial disputes to keep business operations running smoothly.
Bachelor’s Degree in Law
Relevant Experience: Typically 5 years of professional experience drafting, reviewing, and negotiating commercial agreements, gained either in-house or within a corporate law practice.
Modern Technical Skills: Hands-on experience using modern Contract Lifecycle Management (CLM) tools (such as Ironclad, Icertis, or similar) and e-signature platforms (such as DocuSign).
Communication & Collaboration: Exceptional communication skills with a proven ability to translate complex legal concepts into clear, actionable advice for non-legal business partners.
Drafting Precision: Exceptional command of contract terminology, legal English, and structured drafting with a sharp eye for detail.
