We are seeking a highly organized and detail-oriented Corporate Secretary Associate to join our Corporate Secretary Services team in Luxembourg. The successful candidate will support the governance and administration of Luxembourg-regulated investment fund structures managed and advised by Finance in Motion. Working closely with board members, conducting officers, service providers and internal stakeholders, the Associate will contribute to the effective operation of governance processes and ensure the highest standards of corporate governance and regulatory compliance.

Key Responsibilities
  • Lead the organization and governance support of AIFM Board meetings, Conducting Officer meetings, and Board and Committee meetings of managed and advised funds.
  • Manage governance calendars and oversee the timely execution of governance activities throughout the year.
  • Coordinate agenda planning, review meeting materials and ensure high-quality board documentation.
  • Act as a key contact for directors, conducting officers, fund administrators, legal advisors, auditors and other service providers.
  • Draft, review and finalize board minutes, resolutions and governance documentation.
  • Ensure timely follow-up and implementation of board decisions and action items.
  • Maintain and enhance governance frameworks, policies and corporate governance practices.
  • Coordinate and review regulatory and corporate filings, including filings with the CSSF.
  • Oversee statutory registers, governance records and document management systems.
  • Drive governance process improvements and support the implementation of governance best practices.
  • Lead governance-related projects,  board governance related regulatory initiatives.
  • Provide guidance to internal stakeholders on governance requirements and board processes.

What We Expect
  • Bachelor’s degree in Law, Business Administration, Corporate Governance, Finance or a related field.
  • Minimum 5 years of professional experience in the Luxembourg investment funds industry, gained within a Luxembourg AIFM, Management Company, asset manager, fund administrator, law firm or governance services provider.
  • Extensive experience supporting CSSF-regulated investment fund structures and governance frameworks.
  • Proven experience independently managing AIFM Board meetings, and Boards of managed and advised funds.
  • Strong practical knowledge of Luxembourg fund regulation, corporate governance and company law.
  • Sound understanding of the AIFM Law, CSSF Circular 18/698, SIF/SICAR regimes and the Luxembourg Companies Law of 1915.
  • Strong boardroom presence and ability to interact confidently with senior stakeholders.
  • High level of integrity, independence, professionalism and discretion.
  • Proven ability to manage multiple priorities, tight deadlines and regulatory requirements.
  • Strong analytical, problem-solving and decision-making capabilities.
  • Excellent drafting and expert minute-taking skills.
  • Governance certification (ILA, CGI or equivalent) is a strong asset.
  • Strong experience maintaining statutory registers and overseeing regulatory filings.
  • Advanced project management and organizational skills.
  • Excellent written and verbal communication skills in English; French is considered an asset.
