Accountabilities:

    The M&A Associate will support private M&A transactions by providing legal expertise across drafting, negotiation, diligence, and execution activities. The role requires strong transactional judgment, the ability to manage competing deadlines, and a solutions-oriented approach to complex corporate matters.

    • Draft, review, and negotiate transaction documents, including Stock Purchase Agreements, Asset Purchase Agreements, Letters of Intent, confidentiality agreements, disclosure schedules, and ancillary agreements.
    • Conduct legal due diligence and identify potential legal, regulatory, and commercial risks related to acquisitions and divestitures.
    • Support all phases of private M&A transactions, including transaction structuring, preparation, negotiation, and closing activities.
    • Analyze deal terms and recommend practical, business-focused solutions to address legal and commercial considerations.
    • Collaborate with internal stakeholders, clients, and external legal counsel to coordinate transaction execution.
    • Manage multiple concurrent M&A matters while maintaining accuracy, quality, and responsiveness under tight deadlines.
    • Provide legal support for mergers, acquisitions, divestitures, restructurings, and related corporate transactions.
    • Communicate effectively with senior stakeholders to support decision-making and transaction progress.
    • Requirements:

      The ideal candidate is a corporate attorney with significant private M&A experience and strong capabilities in drafting, negotiating, and managing sophisticated transactions. They should be comfortable working independently while collaborating with legal and business stakeholders in a fast-paced environment.

      • J.D. or equivalent law degree and active license to practice law in at least one U.S. jurisdiction.
      • Approximately 5+ years of experience supporting private company M&A transactions.
      • Demonstrated expertise drafting and negotiating Stock Purchase Agreements (SPAs) and Asset Purchase Agreements (APAs).
      • Strong understanding of corporate law principles, transaction structures, and M&A processes.
      • Experience handling mergers, acquisitions, divestitures, restructurings, and related corporate matters.
      • Excellent legal drafting, negotiation, analytical, and communication skills.
      • Ability to identify risks, evaluate complex issues, and develop practical recommendations.
      • Strong organizational skills with the ability to manage multiple transactions and priorities.
      • Ability to work independently while effectively communicating with senior business leaders and external stakeholders.
