Accountabilities:

    The Commercial Counsel will serve as a strategic legal advisor, managing day-to-day commercial legal activities while developing efficient processes that support business growth. This role requires balancing legal risk management with practical, business-oriented solutions across a wide range of commercial and technology matters.

    • Draft, review, negotiate, and manage commercial agreements, including SaaS agreements, master services agreements, statements of work, business associate agreements, data processing agreements, vendor contracts, partnership agreements, procurement agreements, and confidentiality agreements.
    • Partner with sales teams to accelerate deal execution while ensuring appropriate management of legal, regulatory, privacy, and business risks.
    • Serve as the primary legal point of contact for commercial matters and provide practical guidance to internal stakeholders.
    • Advise teams on healthcare technology, privacy, data use, product development, operational, and regulatory legal matters.
    • Create and maintain contract templates, negotiation playbooks, clause libraries, and scalable legal resources.
    • Improve legal operations by identifying opportunities to streamline workflows, enhance efficiency, and strengthen contracting processes.
    • Collaborate with Product, Engineering, Security, and Operations teams on technology initiatives involving healthcare data and artificial intelligence.
    • Evaluate and implement AI-powered tools and legal technology solutions to improve contract workflows and team productivity.
    • Support vendor negotiations, procurement activities, and business partnerships.
    • Work with external legal advisors on specialized matters when needed.
    • Build trusted relationships across the organization by delivering clear, solution-oriented legal advice.
    • Identify and escalate complex legal, regulatory, or business risks appropriately.
    • Requirements:

      The ideal candidate is an experienced attorney with strong commercial contracting expertise, healthcare regulatory knowledge, and the ability to operate as a collaborative business partner in a high-growth environment.

      • Juris Doctor (J.D.) degree from an accredited law school and active U.S. bar membership.
      • 4+ years of legal experience, including a combination of law firm and in-house experience within healthcare technology, digital health, or related regulated industries.
      • Strong experience advising on privacy, data use, and security matters, including HIPAA and state consumer privacy laws.
      • Knowledge of healthcare regulations and legal frameworks affecting technology businesses, including FDA and CMS requirements.
      • Familiarity with FDA guidance related to software as a medical device (SaMD), clinical decision support tools, and state corporate practice of medicine (CPOM) laws.
      • Experience advising on product development, emerging technologies, and ethical or regulatory considerations.
      • Proven ability to negotiate complex commercial agreements involving multiple stakeholders, including healthcare providers, payors, licensing partners, and enterprise customers.
      • Strong communication, analytical, and problem-solving skills with the ability to provide practical, strategic advice.
      • Ability to thrive in a fast-moving, mission-driven environment with evolving priorities.
      • Interest in leveraging AI tools and technology to improve legal workflows and business operations.
