You will play a key role assisting on our company’s corporate governance, securities law, and compensation matters. You will work closely with your primary stakeholders, including Accounting, Equity, Finance, Investor Relations, People, and Tax, while being an important resource for your colleagues on a global basis. This position will be located in Santa Clara, CA, and report to the Senior Director, Assistant General Counsel, Corporate, Securities, and M&A.This is an exciting opportunity for someone who is intellectually curious, creative, and able to identify and resolve legal and business issues that arise in the context of the company’s strategic goals and risk thresholds. This position requires a high degree of self-sufficiency, independent judgment, and a results-oriented approach.Your ImpactAssist with preparation and review of SEC filings, including periodic and current reports, our annual proxy statements for shareholder meetings, and registration statements. Advise on a broad range of executive compensation and employee benefits matters, including equity plan administration, securities law compliance, governance and related processes.Assist with corporate governance matters, including preparing Board and Committee materials and maintaining and operationalizing public-company policies.Support review of public-facing corporate communications, including earnings materials and investor presentations.Support oversight of Section 16 reporting, 10b5-1 plans, and related compliance programs.Provide legal support on equity compensation and benefits aspects of strategic transactions, including M&A.Assist...
