02 · KEY RESPONSIBILITIES
1. Serve as the primary infrastructure subject matter expert during M&A deal cycles — partnering with corporate development, finance, and deal teams to assess target company infrastructure landscapes during the pre-close phase.
2. Lead structured discovery sessions with pitching and seller-side technical teams to extract accurate infrastructure inventory, dependency maps, and operational maturity assessments.
3. Design comprehensive integration plans covering datacenter consolidation, cloud migration, compute rationalization, storage harmonization, and data protection alignment, with clear milestones, owners, and risk registers.
4. Architect hybrid and multi-cloud infrastructure solutions that bridge acquired entities' existing environments with the parent organization's target state architecture.
5. Define and enforce Day-1 infrastructure readiness criteria — ensuring network connectivity, identity integration, data protection coverage, and operational monitoring are in place before legal close.
6. Deliver executive-level infrastructure due diligence reports, including technical risk scoring, capital expenditure estimates, and integration timeline recommendations.
7. Own the post-close infrastructure integration workstream from kickoff through steady-state operations, managing stakeholders across engineering, IT, security, and business leadership.
8. Develop reusable M&A infrastructure playbooks, assessment templates, and integration frameworks that accelerate future deal execution.
9. Evaluate and identify infrastructure synergy opportunities — decommissioning redundant systems, consolidating vendor contracts, and driving cost optimization across the combined entity.
10. Mentor cross-functional engineers and project managers on M&A infrastructure best practices, ensuring organizational capability grows with deal velocity.
03 · M&A INTEGRATION LIFECYCLE OWNERSHIP
PHASE 1 · PRE-LOI
Initial Infrastructure Assessment
• Engage pitching team to understand technology landscape overview
• Identify infrastructure footprint size, cloud spend, and datacenter count
• Flag high-level technical risks for deal valuation inputs
PHASE 2 · DUE DILIGENCE
Deep-Dive Technical Discovery
• Conduct structured interviews with target's infrastructure, ops, and security teams
• Inventory compute, storage, backup, DR, and network assets
• Document technical debt, EOL hardware, licensing gaps, and compliance posture
• Produce scored infrastructure due diligence report with CapEx/OpEx impact
PHASE 3 · PRE-CLOSE PLANNING
Integration Architecture Design
• Design end-state infrastructure architecture aligned to parent's standards
• Build detailed Day-1 readiness checklist and critical path schedule
• Define data protection coverage gaps and remediation actions prior to close
• Establish interim operating model and escalation paths
PHASE 4 · DAY-1 & BEYOND
Execution, Migration & Steady State
• Execute cutover activities and validate Day-1 operational readiness
• Drive workload migrations, datacenter consolidations, and cloud onboarding
• Track synergy realization and report integration progress to leadership
• Transition to BAU operations and formally close integration workstream
04 · QUALIFICATIONS & REQUIREMENTS
REQUIRED
✓ 10+ years in infrastructure engineering or architecture
✓ Deep expertise in compute virtualization & cloud platforms (AWS, Azure, or GCP)
✓ Hands-on experience with enterprise storage platforms (NetApp, Pure, Dell EMC)
✓ Proven background in backup & DR solutions (Veeam, Rubrik, Cohesity, or equivalent)
✓ 3+ years directly involved in M&A or large-scale IT integration programs
✓ Ability to produce clear technical documentation and executive-level reports
✓ Strong stakeholder management and workshop facilitation skills
✓ Experience leading cross-functional teams across complex programs
PREFERRED
✓ AWS SA Professional, Azure Solutions Architect Expert, or GCP Professional Cloud Architect
✓ ITIL, TOGAF, or equivalent architecture/service management framework knowledge
✓ Experience with infrastructure cost modeling and TCO analysis tools
✓ Familiarity with SOC 2, ISO 27001, HIPAA, or PCI-DSS compliance frameworks
✓ Background in private equity-backed or high-velocity deal pipeline environments
✓ Exposure to network infrastructure during M&A (SD-WAN, MPLS, firewall migrations)
✓ Scripting or automation skills (Terraform, Ansible, Python) for environment discovery
05 · COMPETENCIES WE'RE LOOKING FOR
Strategic Thinking: Able to translate business deal objectives into infrastructure decisions, balancing speed, risk, and long-term architecture quality.
Discovery & Listening: Expert at extracting accurate technical information from unfamiliar teams under time pressure, including in adversarial or reluctant-seller scenarios.
Communication: Equally fluent translating technical risk for a CFO and discussing RAID configurations with a storage engineer.
Structured Problem Solving: Uses frameworks and data-driven analysis to prioritize integration tasks, manage ambiguity, and make decisions under time constraints.
Ownership Mindset: Takes end-to-end accountability for integration outcomes — not just deliverables — through close and beyond.
