We are seeking a highly organized and detail-oriented Corporate Secretary Associate to join our Corporate Secretary Services team in Luxembourg. The successful candidate will support the governance and administration of Luxembourg-regulated investment fund structures managed and advised by Finance in Motion. Working closely with board members, conducting officers, service providers and internal stakeholders, the Associate will contribute to the effective operation of governance processes and ensure the highest standards of corporate governance and regulatory compliance.

Key Responsibilities
  • Organize and coordinate AIFM Board meetings, Conducting Officer meetings, and Board and Committee meetings of managed and advised funds.
  • Manage meeting schedules, governance calendars, agendas, meeting logistics and documentation timelines.
  • Prepare, compile and distribute board and committee materials through board portal software.
  • Liaise with directors, conducting officers, fund administrators, legal advisors, auditors and other stakeholders to ensure timely delivery of meeting documentation.
  • Draft board minutes, board resolutions, action logs and other governance records.
  • Monitor the implementation and follow-up of board decisions and action items.
  • Maintain statutory records, governance registers and corporate documentation.
  • Support the preparation and submission of regulatory and corporate filings, including filings with the CSSF.
  • Assist in maintaining and enhancing governance policies, procedures and internal frameworks.
  • Support communication between Boards, Conducting Officers, shareholders and external service providers.
  • Contribute to governance-related projects and continuous process improvements.

What We Expect
  • Bachelor’s degree in Law, Business Administration, Corporate Governance, Finance or a related field.
  • Minimum 3–5 years of professional experience in the Luxembourg investment funds industry, gained within a Luxembourg AIFM, Management Company, asset manager, fund administrator, law firm or governance services provider.
  • Proven experience supporting Luxembourg-regulated fund structures.
  • Practical experience organizing and supporting AIFM Board meetings, Conducting Officer meetings and fund Board meetings.
  • Good understanding of Luxembourg fund governance and corporate governance requirements.
  • Working knowledge of Luxembourg regulatory frameworks, including the AIFM Law, CSSF Circular 18/698, SIF/SICAR regimes and the Luxembourg Companies Law of 1915.
  • Strong written and verbal communication skills in English; French is considered an asset.
  • High level of integrity, professionalism and discretion.
  • Ability to manage multiple priorities and work effectively under pressure.
  • Proactive, collaborative and solution-oriented mindset.
  • Strong drafting and minute-taking skills.
  • Experience with board portals, e-signature tools and electronic document management systems.
  • Governance certification (ILA, CGI or equivalent) is considered an asset.
  • Excellent organizational skills and attention to detail.
  • Proficiency in Microsoft Office applications.
