As an Assistant General Counsel here at Honeywell, you will play a crucial role in providing strategic legal advice and support to our business units and corporate functions. This role will support two business units, Industrial Automation (IA) and Process Automation (PA), with primary responsibilities focused on IA. 

Your expertise in drafting, reviewing, and negotiating contracts and agreements will be instrumental in driving our success. Additionally, you will be responsible for managing legal risks, ensuring compliance with laws and regulations, and handling legal disputes and litigation matters.

You will report directly to our APAC General Counsel and you'll work out of our Seoul, Korea location.

In this role, you will impact the legal operations of our East Asia, ASEAN and Pacifics regions, ensuring that Honeywell operates ethically, legally, and with integrity, allowing the company to continue its mission of creating innovative solutions that improve the quality of life for people worldwide.

Key responsibilities

  • Under the supervision of Honeywell’s General Counsel APAC, serve as the first point of contact in the APAC region for IA’s Vice President & General Manager and work with the other members of the Honeywell Law Department to deliver legal services in a timely and effective manner across the region. You will also work closely with IA’s global Vice President & General Counsel to coordinate legal strategies and ensure alignment with Honeywell’s and IA’s global practices and business interests.
  • Analyze and advise on law and a wide range of legal and compliance matters relating to commercial issues, product liability, anti-trust, etc.
  • Draft, negotiate and manage legal documentation for a broad range of commercial transactions (including sales agreements, distributorship agreements, supply agreements, service agreements etc.).  Assist in the development of standardized processes and templates / precedents for the efficient delivery of legal services in the region.
  • Formulate and conduct preventive law training on a wide variety of topics, including contracting best practices, US Foreign Corrupt Practices Act and equivalent anti-bribery laws, and Honeywell Business Code of Conduct. Assist in workplace compliance issues and internal investigations.
  • Coordinate updates and changes to corporate structures (re-organizations, capital injections etc.) and corporate governance filings with the regulatory authorities (including registration of directors etc.). 
  • Develop and implement legal strategies to protect the company’s interests and mitigate risk.
  • Manage external legal counsel and collaborate with cross-functional teams.
  • Manage and advise on litigation, arbitration, and disputes across APAC countries.

You must have

  • Attorney admitted to practice with a degree in law.
  • At least 8-12 years of experience as a licensed attorney working at a major law firm and multinational company in a senior legal capacity.
  • Current admission to practice in Korea is required. A JD or LLM from an accredited U.S. law school, or current qualification to practice law in a U.S. jurisdiction, is preferred.
  • Substantial experience in contract management, drafting, and negotiating complex commercial contracts.
  • Clear and effective written and verbal communication skills.
  • Strong multinational business transactional experience, including commercial agreements, business acquisitions, divestitures, and joint ventures.
  • Experience in conflict resolution at the pre- and post-litigation stages of dispute resolution.
  • Demonstrated intellectual capacity and high personal standards of excellence, including integrity and good judgment.
  • Personal presence, communication skills, and credibility to effectively interact with and influence management and directors.
  • Ability to work independently and drive key initiatives.
  • Ability to teach and motivate non-legal employees regarding legal issues affecting business transactions, and to provide advice that blends legal experience with an understanding of a client’s business objectives and the needs of a global organization.
  • Self-motivated, dedicated team player with a proactive approach to managing priorities and continuously improving the internal legal function.
