Overview
Main purpose:
Main purpose of this position is to draft, review and negotiate commercial contracts and support the legal team in ensuring compliances.
Key Accountabilities:
Contracts Management
- Candidate is expected to manage day to day contract drafting and negotiation as individual contributors.
- Drafting, vetting, restructuring and redlining of legal documents including Creative Service Agreement, Celebrity Agreement, Media Services Agreement, Confidentiality Agreements, Leave and Licence Agreements, Inter Company Agreements etc.
- Attending con-call for contract negotiations with the client/vendors.
- Identifying legal, commercial, operational risks associated in each commercial contract and taking appropriate steps to resolve and mitigate the risks.
- Responsible for proper execution of contracts and managing a database/MIS of executed contracts.
- Conducting and undertaking due diligence activities pertaining to contracts.
Intellectual Property Rights/Compliance/Litigation/Due Diligence
- Support supervisor in ensuring internal legal compliance on legal queries pertaining to Intellectual Property Rights.
- Coordinating with various departments/business divisions/counsels for facts gathering in litigations matters and managing MIS for the same.
- Periodically prepare and report litigation matters to internal stakeholders.
- Drafting of internal demand notices, rejoinders and reply/responses.
Key Competencies:
Experience/Qualifications
- Law graduate from a reputed law school with 2 – 5 years of relevant post‑qualification experience
- Additional qualification as Company Secretary (CS) or Intermediate CS is preferred.
- Prior experience in the media or advertising industry would be an advantage
Knowledge
- The candidate should have strong contract drafting, review and negotiation skills
- The candidate should have sufficient ability to handle IPR issues and should be able to coordinate litigation matters.
Other Skills (including technology)
- Proficiency in English language
- Hands on exposure for working knowledge in Microsoft Office (especially Word).
Attributes/behaviours
- Strong verbal and written communication skills and in particular an ability to comprehend complex Commercial Contract related queries and review the same.
- Strong analytical and logical reasoning while reviewing complex legal contracts.
- Should be Team player with good interpersonal skill do deal with stake holders/Agencies.
