Accountabilities:
- Draft, review, negotiate, and manage a wide range of commercial agreements, including SaaS agreements, software licenses, NDAs, evaluation agreements, partnership agreements, data processing agreements, and vendor contracts.
- Own the complete contract lifecycle, from initial review and negotiation through execution, while ensuring timely and effective deal completion.
- Partner with sales, product, privacy, security, HR, marketing, and business teams to provide practical legal guidance and support strategic initiatives.
- Advise stakeholders on legal risks, commercial strategies, product-related matters, and operational challenges.
- Drive alignment across teams to resolve complex transaction issues and support successful negotiations with customers and partners.
- Help build, streamline, and operationalize scalable contracting processes to support business growth.
- Support additional legal initiatives, including research, deal structuring, policy development, intellectual property matters, employment-related topics, and corporate operations as needed.
- Act as a trusted problem solver within a collaborative legal team, contributing across multiple areas and supporting evolving business needs.
- 6+ years of transactional legal experience, ideally with experience in enterprise software, SaaS, technology transactions, or high-growth companies.
- Juris Doctor (J.D.) degree with strong academic credentials and active membership in at least one U.S. state bar.
- Proven experience negotiating complex commercial agreements and managing high-touch enterprise transactions.
- Strong understanding of software licensing, SaaS agreements, privacy considerations, and data security concepts.
- Ability to provide practical, business-oriented legal advice while balancing risk and commercial priorities.
- Excellent written and verbal communication skills, with the ability to influence stakeholders and negotiate effectively.
- Highly organized, detail-oriented, and capable of managing multiple priorities in a dynamic environment.
- Ability to work autonomously while contributing positively as part of a collaborative legal team.
- Strong ownership mentality, curiosity, and enthusiasm for solving challenging business problems.
- Experience with privacy laws, artificial intelligence, cybersecurity, or data governance concepts.
- Familiarity with employment matters, equity management, intellectual property, board matters, investigations, or entity management.
- Government contracts experience.
- Experience supporting enterprise-level technology negotiations with limited negotiation leverage.
- Technical aptitude and comfort working with complex technology products.
- Foreign language skills, especially Spanish, Portuguese, Arabic, Hebrew, or French.
- Competitive annual base salary range of $150,000–$185,000, with additional variable compensation and equity incentives based on performance.
